Summary
This handbook suffices as introduction material for practitioners interested in international securities law. It is an in-depth discussion/analysis of how domestic securities law applies to foreign persons doing business in the United States, and to domestic and foreign persons doing business outside the U.S. The handbook's examination further broadens the subject to include international dimensions of the Investment Company Act of 1940, the Investment Advisers Act of 1940, regulation of broker-dealers under the 1934 Act and international dimensions of public and private enforcement remedies. Finally, the handbook provides a guide for persons with little or no background or experience in U.S. or international capital markets or U.S. Securities law, to practitioners who are familiar with certain limited aspects of domestic capital markets and domestic securities laws, and even persons with an expertise in global securities transactions.
